1. Acceptance of Terms

By accessing and using Cardx.Digital ("Service"), operated by ERD Solutions Ireland ("Company", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Service Description

Cardx.Digital provides digital business card creation, hosting, and management services. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts and Registration

3.1 Account Creation

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 16 years old to use this Service
• One person or legal entity may not maintain more than one free account

3.2 Account Security

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Acceptable Use Policy

4.1 Prohibited Activities

You agree NOT to use the Service to:

• Upload or distribute viruses, malware, or any malicious code
• Violate any applicable laws, regulations, or third-party rights
• Harass, abuse, or harm another person or entity
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Distribute spam, chain letters, or unsolicited mass distribution of email
• Post or transmit any unlawful, threatening, defamatory, obscene, or pornographic content
• Infringe upon intellectual property rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service for any fraudulent or illegal activity
• Collect or harvest personal data of other users without consent

4.2 Content Restrictions

All content uploaded must:

• Be owned by you or properly licensed
• Not violate any third-party rights
• Comply with applicable advertising and marketing laws
• Not contain false, misleading, or deceptive information

5. Intellectual Property Rights

5.1 Your Content

You retain all rights to the content you upload. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of providing the Service.

5.2 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by ERD Solutions Ireland and protected by international copyright, trademark, and other intellectual property laws.

6. Subscription and Payment Terms

6.1 Billing

• Subscriptions are billed in advance on a recurring basis (monthly or annually)
• You authorize us to charge your payment method for all fees due
• Prices are subject to change with 30 days' notice
• All fees are non-refundable except as required by law

6.2 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. No refunds will be provided for partial subscription periods, except as required by EU consumer protection laws.

6.3 Free Trial

Free trial periods, if offered, are available only once per user. We may require payment information to start a trial and will charge you when the trial ends unless you cancel before the trial period expires.

7. Data Protection and Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal data in compliance with GDPR and other applicable data protection laws. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Service Availability and Support

8.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

8.2 Support

Support is provided via email and in-app ticketing system. Response times vary based on subscription tier and issue priority.

9. Termination

9.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support.

9.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Breach these Terms of Service
• Engage in fraudulent or illegal activity
• Fail to pay fees when due
• Create risk or legal exposure for us or other users

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days for potential account recovery, after which it will be permanently deleted unless retention is required by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ERD SOLUTIONS IRELAND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless ERD Solutions Ireland, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload or share through the Service

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland and the European Union, without regard to conflict of law provisions.

12.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ireland.

12.3 EU Consumer Rights

If you are a consumer in the European Union, you retain all rights provided by applicable EU consumer protection laws, and nothing in these Terms limits those rights.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ERD Solutions Ireland.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
